Welcome to the Vibe Tribe Membership Program by House of Vaaree Private Limited ("Vaaree", "We", "Us"). Please read these terms and conditions ("Terms") carefully before purchasing, enrolling in or using the membership. By purchasing, enrolling in, renewing or using the Vibe Tribe Membership ("Membership"), you ("Member", "You") agree to be bound by these Terms.

1. Membership Overview

The Vibe Tribe Membership is a curated membership program intended for eligible interior designers, architects and other professionals or businesses approved by Vaaree. The specific benefits, commercial terms and entitlements applicable to a Member may vary and shall be as communicated by Vaaree to that Member from time to time, including through onboarding communication, email, WhatsApp, membership documentation, the Member dashboard, the Vaaree website or any other communication channel used by Vaaree. Vaaree does not guarantee that all Members will receive identical benefits, discount percentages, cashback rates, styling entitlements or other privileges. Different Members may receive different commercial terms or benefit structures.

2. Membership Benefits

Depending on the applicable Membership arrangement, Members may receive access to one or more benefits including styling support, product discounts, cashback credited to a Vaaree Wallet, concierge support, extended return or exchange windows, community or event access, and such other benefits as Vaaree may make available from time to time. All benefits are subject to eligibility, availability and applicable product, brand, seller, category, geography, transaction, operational and program-level restrictions. The precise benefits applicable to a Member shall be those communicated by Vaaree to that Member.

3. Code Issuance & Usage

Eligible Members may receive a unique Vibe Tribe Member code. Membership codes may be issued against such identification, business, PAN, GST or other details as Vaaree may require during onboarding. The Member code is linked to the registered Member and may not be transferred to another professional, business or legal entity unless expressly approved by Vaaree. The code may be used by the Member and/or shared with the Member's clients for eligible transactions, subject to the prevailing program rules communicated by Vaaree. Vaaree may prescribe conditions around code usage, eligible customers, eligible transactions, applicable discounts, applicable cashback, product or brand exclusions and other usage conditions. Vaaree may suspend, restrict or deactivate a code in cases of suspected misuse, fraud, abuse or activity inconsistent with the intended purpose of the Membership.

4. Membership Activation

Membership shall be activated following successful payment of the applicable Membership fee, where applicable, completion of the onboarding requirements prescribed by Vaaree, submission of requested information or documentation, and approval by Vaaree. Members must ensure that all information provided to Vaaree is accurate, complete and current. Vaaree shall not be responsible for delays resulting from incomplete, incorrect or outdated information provided by a Member.

5. Non-Refundable Purchase

Unless expressly stated otherwise by Vaaree or required under applicable law, the Vibe Tribe Membership fee is non-refundable once the Membership has been activated, regardless of the extent to which Membership benefits are used, discounts or cashback are availed, styling support is used, or the program is subsequently modified in accordance with these Terms.

6. Styling Support

Where styling support forms part of a Member's applicable Membership benefits, the number of complimentary styling sessions, project scope, eligibility, usage conditions and any reinstatement or replenishment mechanism shall be as communicated by Vaaree to that Member. Styling support may include understanding the intended aesthetic, recommending products, curating finishing elements, preparing styling concepts and/or 2D styling representations, or such other styling assistance as Vaaree may make available. Where Vaaree has communicated a reinstatement mechanism, a styling session used by a Member may be reinstated to the Member's available styling balance if the applicable purchase, order value, product eligibility, delivery completion or other criteria communicated by Vaaree are satisfied. Styling support is subject to stylist availability, geography, project scope, Member responsiveness, product availability and other operational considerations. Unused styling benefits may expire at the end of the applicable Membership period unless otherwise communicated by Vaaree.

7. Member Discounts

Members may receive such product discounts as communicated by Vaaree under their applicable Membership terms. Discounts are not necessarily flat and may vary by Member, product, brand, seller, category, collection, campaign, transaction, product margin or commercial arrangement. Certain products, brands or categories may carry a lower discount, a different discount or no Member discount. The discount applicable to a transaction at the time the order is placed shall apply.

8. International and Luxury Brands

Brands classified by Vaaree as International Brands or Luxury Brands may have separate Membership terms, including different or no product discounts and different cashback structures. International Brands may not be eligible for any Member discount. Cashback, where offered on International Brands, may be lower than the standard cashback structure and shall be up to a maximum of 5%, subject to the applicable brand, product, seller, category, transaction and commercial arrangement. Certain International Brands may offer no cashback. Luxury Brands may have separate discount and cashback structures determined on a brand-by-brand, product-by-product or transaction-by-transaction basis. Vaaree may determine and revise which brands are classified as International Brands or Luxury Brands from time to time.

9. Cashback Benefits

Where cashback forms part of a Member's applicable Membership benefits, the Member may earn cashback on eligible successfully delivered orders placed using the applicable Vibe Tribe Member code, subject to the cashback structure or slab communicated by Vaaree. Cashback rates may vary based on factors including monthly eligible net billing, applicable slab, Member, product, brand, seller, category, transaction value, commercial arrangement and other criteria determined by Vaaree. Cashback rates are not guaranteed to be uniform across all Members, products, brands or transactions. All eligible cashback under the Vibe Tribe Membership shall be credited to the Member's Vaaree Wallet and shall not be paid as commission or transferred to the Member's bank account unless expressly stated otherwise by Vaaree.

10. Calculation and Credit of Cashback

Cashback shall be calculated only on eligible transactions that are successfully delivered and completed in accordance with Vaaree's records. For cashback calculation purposes, Vaaree may determine the eligible net transaction value after accounting for cancellations, returns, exchanges, refunds, discounts, promotional credits, taxes, shipping charges, gift cards, wallet credits, vouchers and any other applicable deductions or adjustments. Orders that are cancelled, returned, refunded, reversed or otherwise determined to be ineligible shall not qualify for cashback. If cashback has already been credited in relation to such an order, Vaaree may reverse or adjust the corresponding amount from the Member's Vaaree Wallet or against future cashback credits. Cashback credit timelines may depend on delivery completion, applicable return or exchange periods, reconciliation timelines and other operational considerations determined by Vaaree.

11. Vaaree Wallet

Cashback credited under the Vibe Tribe Membership is a promotional wallet benefit and does not constitute cash payable by Vaaree. Unless expressly permitted by Vaaree, wallet cashback cannot be withdrawn as cash, transferred to a bank account, transferred to another Member or converted into cash. Cashback credited to the Vaaree Wallet shall be subject to the prevailing Vaaree Wallet terms, including any applicable validity period, redemption conditions, product or brand exclusions, minimum or maximum redemption limits, restrictions on clubbing with other promotions, and other usage conditions communicated by Vaaree from time to time.

12. Gift Cards

Vaaree does not offer any Member benefits on gift cards.

13. Extended Return / Exchange Benefit

Where an extended return or exchange window forms part of a Member's applicable Membership benefits, the extension shall apply only to products that are otherwise eligible for return or exchange under Vaaree's prevailing policies and shall be subject to the duration and conditions communicated by Vaaree. Any extension does not override product-specific exclusions, non-returnable or non-exchangeable classifications, customised or made-to-order restrictions, hygiene restrictions or other conditions contained in Vaaree's prevailing return and exchange policies.

14. Concierge Support

Where concierge support forms part of a Member's applicable Membership benefits, Vaaree may provide assistance with order tracking, delivery coordination, returns, exchanges and other reasonable order-related or project-related queries through WhatsApp or any other communication channel determined by Vaaree. Concierge support is intended to simplify coordination and does not constitute a guarantee of delivery timelines, product availability, return approval, exchange availability, refund approval or resolution timelines. All transactions remain subject to Vaaree's prevailing platform and operational policies.

15. Community, Events & Networking

Vaaree may organise events, workshops, meet-ups, learning sessions, panel discussions, networking opportunities and other experiences for Vibe Tribe Members. Access to individual events may be subject to invitation, availability, capacity, geography, eligibility, RSVP requirements, additional charges or other conditions determined by Vaaree. Membership does not guarantee access to every Vibe Tribe event or experience.

16. Misuse of Membership

Members shall not use the Membership for any unlawful, fraudulent or abusive purpose, including placing artificial or non-genuine orders, manipulating transactions to generate cashback, creating circular transactions, misusing discounts, abusing return or refund policies, unauthorised sharing of Member codes, exploiting system or pricing errors, or otherwise using the Membership contrary to its intended purpose. Vaaree may investigate suspicious activity and may withhold, reverse or cancel discounts, cashback or other Membership benefits pending or following such investigation.

17. Suspension or Termination

Vaaree may suspend, restrict or terminate a Membership, Member code or individual benefit if misuse or fraud is suspected, a Member breaches these Terms, incorrect or fraudulent information has been provided, required compliance information is not provided, the program is restructured or discontinued, or Vaaree reasonably determines that such action is required for operational, commercial, legal, compliance or risk-management reasons. Termination or suspension shall not automatically entitle a Member to a refund of the Membership fee unless required under applicable law. Benefits or cashback earned before suspension or termination may remain subject to eligibility verification and adjustment.

18. Data & Privacy

Vaaree may collect, store and process personal, financial and business information relating to Members, including name, business details, PAN, GST information, email address, phone number, transaction information, payment information and Membership usage information, as reasonably required to operate the Vibe Tribe Membership. Such information shall be processed in accordance with Vaaree's prevailing Privacy Policy and applicable law. Vaaree may share relevant information with its affiliates, sellers, logistics partners, payment providers, technology providers, service providers, professional advisers and other authorised third parties where reasonably required to administer the Membership, provide Membership benefits, process transactions, credit cashback, provide concierge support, fulfil orders, prevent fraud or misuse, satisfy taxation, audit or accounting requirements, or comply with applicable law.

19. Indemnity and Limitation of Liability

To the extent permitted by applicable law, the Member agrees to indemnify and hold harmless Vaaree, its subsidiaries, affiliates, directors, officers, employees and representatives from claims, liabilities, losses, damages, costs or expenses arising from the Member's breach of these Terms, misuse of the Membership, fraudulent or unauthorised activity, violation of applicable law or violation of third-party rights. To the maximum extent permitted by applicable law, Vaaree shall not be liable for losses arising from technical or system failures, incorrect information provided by a Member, external payment or banking dependencies, logistics or seller delays, temporary unavailability of Membership benefits, product or inventory unavailability, changes in seller or brand commercial arrangements, or events outside Vaaree's reasonable control. To the maximum extent permitted by law, Vaaree's aggregate liability arising specifically from the Vibe Tribe Membership shall not exceed the Membership fee paid by the Member for the applicable Membership period. Nothing in these Terms excludes liability that cannot legally be excluded.

20. Marketplace Relationship

Vaaree operates an online marketplace and facilitates transactions involving products supplied by multiple sellers and brands. Product availability, fulfilment, warranties and certain product information may therefore depend upon the applicable seller or brand. Nothing in the Vibe Tribe Membership creates an employment relationship, agency, partnership, franchise, joint venture or exclusive relationship between Vaaree and a Member.

21. Confidentiality

Members shall not disclose confidential or proprietary information received from Vaaree unless reasonably required for the intended use of the Membership, expressly permitted by Vaaree, or required under applicable law. Confidential information may include non-public commercial terms, cashback structures, pricing information, commercial arrangements, internal business information and other information reasonably understood to be confidential.

22. Non-Exclusivity

The Vibe Tribe Membership is non-exclusive. Members remain free to purchase from or work with other brands, retailers, marketplaces or service providers. Vaaree may similarly offer memberships, partnerships or commercial arrangements to other architects, designers, businesses or professionals.

23. Changes to Membership Benefits and Commercial Terms

Vaaree reserves the right, at its sole discretion and subject to applicable law, to add, remove, modify, replace, suspend, limit or revise any aspect of the Vibe Tribe Membership from time to time. This may include changes to Membership features, styling entitlements, styling reinstatement conditions, discount percentages, cashback percentages, cashback slabs, cashback eligibility, Vaaree Wallet usage or validity conditions, Member code conditions, brand or product exclusions, International Brand terms, Luxury Brand terms, return or exchange benefits, concierge benefits, community benefits, Membership eligibility, redemption rules and any other Membership or commercial term. Different Members, products, brands, categories, sellers or transactions may have different benefit structures. Members acknowledge that commercial arrangements between Vaaree and individual sellers or brands may change from time to time. Accordingly, Vaaree does not guarantee that any particular discount, cashback percentage, benefit or commercial term will remain unchanged throughout the Membership period.

24. Changes to These Terms

Vaaree may amend, update or replace these Terms from time to time. The latest version of the Terms will be posted on vaaree.com and shall become effective from the date of publication or such other effective date specified by Vaaree. To the extent permitted under applicable law, Vaaree shall not be required to separately notify Members or obtain separate consent, acknowledgement or acceptance each time these Terms or Membership benefits are revised. Members are responsible for periodically reviewing the prevailing Terms. Continued participation in the Vibe Tribe Membership or continued use of Membership benefits after revised Terms become effective shall constitute acceptance of the revised Terms, subject to applicable law. Where applicable law requires specific notification or consent for a particular change, Vaaree shall comply with such requirement.

25. Program Interpretation

Where any question or dispute arises regarding Membership eligibility, Member code usage, eligibility for a discount or cashback, applicable discount or cashback rate, eligible net billing, transaction attribution, styling-session usage or reinstatement, classification of a brand, eligibility for an extended return or exchange benefit, misuse of Membership benefits or interpretation of Vibe Tribe program rules, Vaaree shall determine the applicable program treatment acting reasonably, based on its records, prevailing program rules and applicable law.

26. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to applicable law, courts in Bengaluru, Karnataka shall have exclusive jurisdiction over disputes arising from or relating to the Vibe Tribe Membership.
